1. Acceptance of Terms

By installing, accessing, or using FeeLayer ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and merchants who access or use the Service.

2. Description of Service

FeeLayer is a Shopify application that enables merchants to charge credit card processing fees at checkout. The Service includes fee calculation, compliance checking, checkout integration, and analytics features.

3. Eligibility

You must be at least 18 years old and have the legal authority to bind the business entity using the Service. You must have an active Shopify store in good standing. The Service is not available in jurisdictions where it would be prohibited.

4. Account Registration

When you install FeeLayer, you authorize us to access certain Shopify store data as described in our Privacy Policy. You are responsible for maintaining the confidentiality of your account and for all activities under your account.

5. Fees and Billing

FeeLayer offers various subscription plans as described on our pricing page. By selecting a paid plan, you agree to pay the applicable fees through Shopify's billing system. Key billing terms:

  • Fees are billed monthly through your Shopify account
  • All fees are non-refundable except as described in our refund policy
  • We may change pricing with 30 days notice
  • Failure to pay may result in service suspension

6. Compliance Disclaimer

Important: While FeeLayer provides compliance tools and pre-configured rules for various jurisdictions, you are solely responsible for ensuring your use of credit card surcharges complies with all applicable laws, regulations, and card network rules. FeeLayer does not provide legal advice. We recommend consulting with a qualified attorney regarding surcharge regulations in your jurisdiction.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to circumvent any compliance restrictions
  • Interfere with the proper functioning of the Service
  • Reverse engineer or attempt to extract source code
  • Use the Service in a manner that could damage our reputation
  • Resell or redistribute the Service without authorization

8. Intellectual Property

The Service, including all content, features, and functionality, is owned by FeeLayer and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

9. Limitation of Liability

To the maximum extent permitted by law, FeeLayer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless FeeLayer and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

Either party may terminate this agreement at any time. You may uninstall the app through your Shopify admin. We may suspend or terminate your access for violation of these Terms. Upon termination, your data will be handled according to our Privacy Policy.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.
